These Terms and Conditions (“Terms”) govern your use of our services, including website design and development, social media management, AI communication and voice AI, paid advertising, and SEO services (collectively, the “Services”). 2. Services Offered

  • Paid Advertising (e.g., Google, Facebook, Instagram)
  • Search Engine Optimization (SEO)
Our Services are exclusively tailored for roofing companies across the United States.

3. Payment Terms 3.1 Retainer Model

Clients opting for a retainer model will be invoiced monthly on the day they originally purchase our services. Payment is due on the invoice date.

3.2 Paid-in-Full Contracts:

Clients choosing this option must pay the full contract amount upfront. Payments are non-refundable unless expressly stated otherwise in a signed agreement.

3.3 Late Payments:

Late payments may incur a 10% monthly interest charge. Failure to pay may result in suspension or termination of Services.

4. Client Responsibilities 4.1 Timely Cooperation

Clients must provide necessary materials, information, and approvals promptly to facilitate Service delivery.

4.2 Accuracy of Information:

Clients are responsible for the accuracy and legality of all materials and data provided.

4.3 Compliance:

Clients must comply with all applicable laws, regulations, and platform guidelines (e.g., Google Ads policies).

5. Limitation of Liability

5.1  We strive to deliver exceptional results; however, we do not guarantee specific outcomes, such as increased website traffic, sales, or improved search engine rankings.

5.2 To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, revenue, or data.

5.3 Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the amount paid to us by the client in the three months preceding the event giving rise to the claim.

6. Intellectual Property 6.1 Ownership

Any materials we create, such as website designs, marketing content, or AI tools, remain our intellectual property until payment is made in full.

6.2 License:

Upon full payment, we grant you a non-exclusive, non-transferable license to use the delivered materials solely for your business purposes.

7. Confidentiality

Both parties agree to keep all proprietary or confidential information exchanged during the course of our relationship private and not to disclose it to third parties without prior written consent.

8. Termination 8.1 Termination by Client

You may terminate our agreement with 30 days’ written notice.

8.2 Termination by Company:

We may terminate the agreement immediately if you breach these Terms, fail to make timely payments, or engage in unlawful activity.

8.3 Upon termination

all outstanding balances become immediately due, and we will cease providing Services.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles.

10. Dispute Resolution

Any disputes arising under these Terms shall first be resolved through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Pennsylvania under the rules of the American Arbitration Association.

11. Changes to Terms

We reserve the right to update or modify these Terms at any time. Any changes will be effective upon posting on our website or notifying you directly.

12. Miscellaneous

12.1 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Services and supersede any prior agreements.

12.2 Force Majeure:

We shall not be liable for delays or failure in performance due to events beyond our reasonable control, such as natural disasters, labor disputes, or internet outages.
